AFM approves the O3 Partners prospectus

Rotterdam, 20 October 2026 — The Netherlands Authority for the Financial Markets (AFM) has approved the O3 Partners prospectus. O3 Partners N.V. (“O3 Partners”) is offering up to 1,764,706 new ordinary shares to the public in Hungary and would continue trading on the regulated market of the Budapest Stock Exchange (BSE). The offering supports a growth strategy built on acquiring further fund manager stakes and launching new funds.

On 20 October 2026, the AFM approved O3 Partners’ EU Follow-on Prospectus, enabling the company to issue up to 1,764,706 new ordinary shares to the public in Hungary. The AFM will notify Magyar Nemzeti Bank (MNB) of the approval, together with the Hungarian-language summary. O3 Partners will apply for its shares to be moved from the Xtend multilateral trading facility of the Budapest Stock Exchange (BSE) to the Standard Category of the BSE’s regulated market.

Public offering and move to the regulated market

The application for admission covers all ordinary shares of O3 Partners: the 3,346,259 shares currently listed on BSE Xtend, each with a nominal value of EUR 2.00 and dematerialised (ISIN: NL0015002I61), as well as the newly issued shares. At the same time, O3 Partners is applying for the existing shares to be delisted from BSE Xtend; the delisting will take effect on the trading day preceding admission to the Standard Category. The detailed terms of the capital raise and the admission are set out in the prospectus. The timing of the admission and the first trading day will be determined by the BSE.

What the offering means for O3 Partners

The public offering supports O3 Partners’ growth strategy, which is built on three pillars:

  • Further fund manager stakes. O3 Partners intends to expand its activities by acquiring further fund manager stakes. It is looking for partners with an experienced investment team, a strong track record and solid local relationships. The new interests could give O3 Partners access to additional markets and a role in areas that complement its existing investments.
  • New investment funds. Launching new investment funds with existing and new partners is another important source of growth. O3 Partners supports both the creation of funds and fundraising from investors and may also participate in them with its own capital. Successful fundraising can increase the assets managed by the fund managers and their recurring fee revenues, while successful fund investments can generate further income later.
  • Cooperation among its interests. O3 Partners also builds on cooperation among its interests. By sharing business contacts and experience, the investment teams can help one another reach new investors and investment opportunities and support the international expansion of the businesses they finance. Developing a shared operating and technology platform could make their work more efficient.

Through these steps, O3 Partners aims to build a diversified corporate and investment structure that does not depend on the results of a single company, fund, investment strategy or market cycle, but rests on several complementary sources of value creation.

“Over the recent period we have reshaped our business strategy and expanded through acquisitions. These steps have already delivered meaningful results in the short term, as our financial reports show. With the planned capital raise, we intend to build on this momentum and further accelerate the growth of O3 Partners.”

Events built around the offering

O3 Partners is organising a series of events around the public share offering and its move to the Standard Category. It will hold two webinars on 5 November and 10 November 2026, led by Dr Péter Oszkó. In addition, the offering, the move to the Standard Category and the company’s operations will also be presented at the Portfolio-organised O3 Investor Club event on 3 November 2026.
